Services
Nomadev may provide WordPress design and development, website maintenance, performance and security services, WooCommerce support, SEO, content, social media management, paid advertising support, email marketing, AI chatbots, workflow automation, CRM integrations, analytics, consulting, and related digital services. Specific deliverables, timelines, fees, and responsibilities will be defined in a proposal, order, or statement of work.
Eligibility and Account Information
You must be legally able to enter into a binding agreement. You agree to provide accurate information, maintain the security of any account you create, and notify us promptly of unauthorized access.
Client Responsibilities
- Provide timely content, approvals, access, credentials, and feedback.
- Confirm that you have rights to all materials supplied to us.
- Maintain independent backups unless backup services are included in writing.
- Review deliverables and report issues within the review period stated in the applicable proposal.
- Comply with platform rules, advertising policies, privacy laws, and other applicable requirements.
Fees, Payments, and Taxes
Fees, deposits, milestones, subscriptions, and payment schedules are stated in the applicable proposal or checkout page. Unless otherwise stated, invoices are due upon receipt. You are responsible for applicable taxes, third-party software, hosting, advertising spend, domains, transaction fees, and platform charges. We may pause work or access for overdue balances.
Scope, Revisions, and Timing
Work outside the agreed scope may require a new estimate or change order. Delivery dates depend on timely client cooperation and third-party availability. Delays caused by missing materials, approvals, platform outages, or circumstances outside our reasonable control may extend timelines.
Intellectual Property
After full payment, the client receives the rights specifically granted in the applicable proposal. Nomadev retains ownership of pre-existing materials, reusable code, frameworks, processes, know-how, templates, and tools. Third-party themes, plugins, fonts, stock media, software, and platforms remain subject to their own licenses.
AI-Assisted Work
We may use AI-assisted tools to support research, drafting, design exploration, coding, analysis, automation, or customer service. Outputs may require human review and are not guaranteed to be error-free or unique. Client approval remains required for final public-facing deliverables where specified.
Confidentiality
Each party agrees to use reasonable care to protect non-public information received from the other and to use it only for the project, except where disclosure is authorized or legally required.
Acceptable Use
You may not use our website or services for unlawful, deceptive, abusive, infringing, malicious, or security-compromising activities. We may refuse or terminate work that creates legal, ethical, safety, or platform-compliance risks.
No Performance Guarantees
Marketing, SEO, advertising, social media, automation, and technology results depend on many factors outside our control. Unless expressly stated in writing, we do not guarantee rankings, traffic, leads, sales, revenue, platform approval, uptime, or specific business outcomes.
Third-Party Services
Our work may rely on hosting companies, payment processors, plugins, APIs, social networks, advertising platforms, AI providers, and other third parties. Nomadev is not responsible for changes, outages, suspensions, pricing, policies, data loss, or security incidents controlled by those providers.
Disclaimers
The website and services are provided “as is” and “as available” to the maximum extent permitted by law. Nomadev disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
Limitation of Liability
To the maximum extent permitted by law, Nomadev will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, lost opportunities, or business interruption. Nomadev’s aggregate liability relating to a claim will not exceed the amount paid to Nomadev for the specific service giving rise to that claim during the three months before the event, unless applicable law requires otherwise.
Indemnification
You agree to defend, indemnify, and hold Nomadev harmless from third-party claims arising from materials you provide, your misuse of the services, your violation of law or platform rules, or your breach of these Terms.
Suspension and Termination
Either party may end a project as permitted by the applicable proposal. We may suspend or terminate access for nonpayment, abuse, legal risk, security threats, or material breach. Accrued payment obligations and provisions that logically survive termination will remain effective.
Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Unless otherwise required by law or agreed in writing, disputes will be brought in the state or federal courts located in San Francisco County, California.
